My question involves business law in the state of: Florida and Minnesota.
I entered a franchise agreement with Anytime Fitness. I paid 35k for a franchise fee. However while working with their real estate team, they failed to secure a location for me multiple times. I had LOIs out on multiple properties and they always failed to close a deal. They are based in Minnesota and didnt have the latest information of the real estate in Orlando. I was doing their leg work by sending them sites with phone numbers for them to call and inquire on. They would tell me there were no spaces in the particular territory I signed for, yet new buildings are being constructed every day. The last straw is that a New gym has just opened in the same area they told me there were no available properties. According to their terms, I didnt have to pay the franchise fee until I had a contract on a location. We finally secured one, then the broker backed out and I lost the deal. I had already paid the fee by then. Now Im about to default for not having a location, or they want me to sign a termination agreement where I lose my fee. Is there a way to fight this and get my 35,000 back?
