Promotion: Promotion Rescinded Due to Back Fill Denied of Current Position

My question involves labor and employment law for the state of: California

Hello. Three months ago I was offered a promotion to a position that had recently come open due to a person leaving the company. It was offered to me and I accepted all terms, albeit this was all verbal but with my manager and HR approval. Well about a month ago, I asked what was going on with my promotion because it seemed pretty open and shut but was taking a very long time to "process". Come to find out, the corporation we work for told my manager that if I am promoted out of my position, they will not back-fill the one I leave. So now my manager is trying to decide whether its worth losing my current position over placing me in the other. HOWEVER, they can still hire an outside person to replace the position I was offered and I would still keep my job. I simply don't get the logic behind this and it seems highly unethical. The company I work for, also touts how they are number one in the area of advancement from within, employee opportunity, and growth. Is there a legal standpoint that I can raise my concerns on? I'm at a complete loss.

If I don't get this promotion now, I will be stuck in my current position for a very long time, unless I decide to leave and go to work for someone else. I don't want this but I also have to think about my future.
